Term of Trade

Bali Summer is sustainable swimwear manufacturer, activewear, clothing and accessories, based in Bali, Indonesia. Bali Summer can provide a wide variety of production services to its clients. These term of trade define how the relationship shall be between Bali Summer and each client.

1. Purchase Order
To order any product the purchaser must provide a written purchase order including full and detailed specifications and drawings. Order confirmation will be created and at Bali Summer discretion. Once an order or purchase order has been received and confirmed, no changes or additions can be made, either in design or quantity after this point – please take care in preparing your original order.

2. Minimum Order Quantity
FOR PRODUCTION ORDER:

Minimum total order/value: 200 pcs or $3,000.00 whichever is greater.

• 30% surcharge if your total order value is over $1,500.00
• 50% surcharge if your total order value is lower $1,500.00

FOR SAMPLE DEVELOPMENT:
There is no minimum order quantity for developing samples. For fitting, we will create and develop as follows:

Development fee for custom label order will be :

• Swimwear = $88/design.
• Active/Lounge/Resort wear = $188/design.

The development fee will cover development cost, pattern, grading 6 sizes in total (XXS, XS, S, M, L & XL), 1x free alteration (only for fitting purposes, no changes styles/design/fabric) and not including the shipping cost.

All specifications have to be very clear, as we do not accept any incomplete specs, and it won’t be processed.

In addition for XXL and plus sizes, there will be other charge for the grading $8/style/sizes.

Important:

Sample development is a must. It is a mandatory to do so, especially for CUSTOM LABEL. It is to avoid any inconvenience may occur during the process of bulk. Once the sample is approved and confirmed, the next process will be done smoothly. These term of trade declines any complaint of the bulk if you skip the Custom Label Samples Development stages.

3. Introductory Pack

The Introductory Pack starts from $88/pack. The package is consist of representative of the products, and preliminary purchases before move for sampling. The products depend on each category of the lines.

4. Material Prints
Approval prior to production all material prints must be approved by client with a client sample swatches print seen in person by client. Without it, Bali Summer has no responsibility of result of prints in production. Tolerance client accepts divergent color of up to 10% in color, 10% in tone and 10% diverge for mass production print. Things that might affect the result of the prints are temperature, print paper batch and humidity. Bali Summer will always recommend the swatches print sample stage prior to sample or production printing order.

Either will issue a pre-production swatches print to approve print consistency with client sample swatches print. If it is within the tolerance we will proceed with the print. If it is not, we will need to client for either a cancellation of print or approval of divergent color outside of tolerance. Instabilities in print as previously mentioned, affects the production print result, therefore by the time between pre-production swatches print and actual production print should not more than 24 hours.

5. Terms of Payment
Production Order:
Deposit of 50% of the total value is necessary for production is required. Production will start upon receipt of funds.
Balance must be paid on completion of goods and before delivery

Sample Order:
Estimation value on the Order Confirmation is 100% paid up front. Any discrepancy will be adjusted on the final invoice, and must be paid on completion of goods and before delivery.

Important:

• When transferring funds to our bank please indicate your name and our invoice number so that we can allocate funds accordingly and avoid unnecessary delays.
• No refund available once Bali Summer received the deposit.

Post Production Order:

The payment has to be completed before shipping, even though split shipment is necessarily under customer’s request. split shipment is not available when the payment is not fully paid.

6. Payments
Accounts payable by:

• Cash
• Cheque drawn on an Indonesian bank telegraphic transfer (please ensure with your bank that the transfer is for “full amount” with no charges to beneficiary).
• Bank Transfer:

Please transfer to the following bank details and advise accordingly.

7. Claim and Return Policy
Any claim must be notified to us within 2 weeks working days of receiving date and should be summarized on a written request for credit as our term of trade. Goods will be replaced or refunded, however rejected items must be returned to us before this will be processed.

By the time client confirmed goods to be claimed, please provide details by stating reference invoice number, along with details of defects.

Bali Summer will send the reference image of the samples and or production order. Kindly noted, that the purpose is to inform that order have been done and completed, and we have followed client’s standard of specification sheet approved (previously for Custom Label sample) and or client’s Technical Sheet for production order. The quality of product and workmanship can’t be determined by image only as the reference image is not for approval purposes.
Any repairs falling outside of the above conditions we can service for you, but will charge a repair fee commensurate with the amount of work done.

8. Intellectual Property
All designs belonging to our client (custom label) such as manual pattern, technical sheet including grading (if any), and remain your property, and will never be used for the needs of another client nor Bali Summer needs. Client has rights to all property that had been paid.

In case of sample creation dan bulk order, Bali Summer will take over the ownership of the designs if a client doesn’t pay the balance of its order within 3 months.

It is client’s responsibility to ensure that the designs ordered are not the property of anyone else.Bali Summer term of trade declines any responsibility in case of a client being sued for copyright infringement.

9. Prices and Delivery Costs
All prices are quoted EXW (Ex works) Bali Summer facility in Bali, Indonesia. It means that the transfer of risk and property occurs when the goods leave Bali Summer facility, and that all freight, insurance and import duties are client’s responsibility.

Upon client’s request, Bali Summer term of trade can take care of the organization of the shipment, packing, and preparation of the export documentation on behalf of the client. Bali Summer would then appoint an International courier company for this purpose as FedEx and DHL.

Client may check the estimation shipping cost for either sample or production, to our website at the Shipping Rates section.

An additional charge for packing and export documentation preparation will be charged to the client and range from $100 to $200.00 per shipment.

The transfer of risk and property will occur when the goods leave Bali Summer facility. Insurance on freight can be arranged should you require, at an additional cost

10. Production Lead Time
Production:
Standard delivery is 4 – 8 weeks (depending on items ordered) from date of receipt of the Deposit.

Sample
Standard delivery is 4 – 6 weeks, depending on quantity ordered, details specification sheet and difficulties (for the Custom Label)

11. General
Any rush orders requiring a reduced lead time will incur a non-negotiable surcharge of 30% over the normal production price and will only be accepted at our discretion.

If customer is supplying materials for the order, all materials must be received before the work commences, or we reserve the right to review the delivery date.

Please read these term of trade very carefully and understand them well. When you place an order with us, that order will be subject to terms stated above, and placing an order with us signifies that you agree to these terms.
